//  TERMS OF SERVICE

The licence, and the sale.

How GATKO Technology Inc. licenses GNexusOS to you, what a purchase includes, and who you are buying from.

LAST UPDATED 30 OCTOBER 2026

01Who these terms are between

These terms are an agreement between you and GATKO Technology Inc. (“GATKO”, “we”, “us”), the company that makes and licenses GNexusOS. Installing or using GNexusOS means you accept them. If you do not accept them, do not install or use it.

These terms cover the software. The website has its own Terms of Use, refunds have their own Refund Policy, and personal information is covered by the Privacy Policy.

THE COMPANY BEHIND THE PRODUCT

GATKO Technology Inc. — incorporated in Canada. 318-30 Baseball PL, Toronto ON M4M 0E8, Canada.

GNexusOS is GATKO Technology Inc.'s product. The company's domain is gatkotech.com; the product's is gnexusos.com. Legal and privacy: [email protected]. Product and support: [email protected].

WHERE THINGS STAND TODAY

Purchasing is not open yet — there is no checkout on this site. These are the terms that will apply to a purchase when it opens, and they apply now to any licence GATKO has already granted.

02The licence we grant

Subject to these terms and to payment, GATKO grants you a non-exclusive, non-transferable, perpetual licence to install and use GNexusOS for your own purposes, personal or business, within the activation limit on your licence. Perpetual means what it says: your right to use what you bought does not expire. Section 05 sets out how that licence reaches your machine and how it is verified, because the mechanism is worth knowing rather than discovering.

You are buying a licence, not the software itself. GATKO and its licensors keep all intellectual property rights in GNexusOS.

03What the core licence includes

  • 3 agent seats. Seats are capacity: bought once, kept.
  • 12 months of updates from the date of purchase.
  • One machine activation — one machine per licence, with self-service release so you can move to another machine.

Additional agent seats are sold separately in packs of 5, and add to the seats you already have. Capacity you buy is yours to keep — it is not rented and it does not lapse.

04Updates, renewal, and what expiry does not do

Your purchase includes 12 months of updates. Afterwards you may renew for a further term. Renewal is optional.

THE PROMISE WORTH BEING PLAIN ABOUT

If you do not renew, you stop receiving new versions. Nothing else happens. The software keeps running and keeps working. The copy you installed stays licensed, with the entitlements you bought. There is no time bomb, no feature withdrawal and no reduced mode tied to your update window.

A refund is a different thing from a non-renewal — a purchase that did not complete, rather than one that did — and it does have an effect on the software. Section 09 and the Refund Policy cover it. Not renewing is not a revocation and never becomes one.

Licence expiry affects updates only. It is not an expiry of the licence.

05Machine activations

The core licence allows one concurrent machine activation: one machine per licence. Activating records the machine against your licence. You can release the activation yourself and activate another machine, including when you no longer have the first one, so moving machines does not need us.

Stated so it is not a surprise: a laptop and a desktop you want to use at the same time are two machines, and need two licences.

Releasing an activation frees the slot for another machine; by itself it does not stop a copy that is already installed. You agree to keep your use within the activation your licence allows.

How licence verification will work, and how often

Today GNexusOS verifies its licence on your own machine. When purchasing opens that will change in one respect and no more, and it is set out here rather than left to be found:

  • the licence issued at the moment of purchase will be time-limited, lasting a little over a fortnight;
  • for about the first two weeks the application will check in with the licence service daily, sending your licence id and nothing about your work (the Privacy Policy says exactly what is sent and how often);
  • once the 14-day refund window has closed, that check returns a licence valid for a year;
  • from then on the application asks about once a year, and each time it does we renew that year for any licence that has not been revoked. Whether or not you renewed your update window makes no difference — the right to run the software and the right to new versions are separate, and this is where that separation is honoured rather than merely stated.

So the licence is perpetual and the check does not end. Those are not in tension, and the reason is the next paragraph, which is the most important one in this section.

Being unable to reach us never stops the software. If you are offline, if our service is down, if a network between us fails — the application keeps working on the licence it holds. The only answer that stops anything is a definitive one from us saying the licence was revoked. A missing answer is not that answer, and will never be treated as one. If a licence does lapse while you cannot reach us, the application asks you to connect to finish activating and resolves itself the moment you are online; we renew any licence that has not been revoked, whenever we are asked, with no age limit. A lapse is an inconvenience, never a lost purchase and never a reason to buy again.

Why it works this way, stated plainly. A payment can be reversed long after it was made: a refund within our 14-day window, but a card chargeback months later. The annual check is how a reversal that arrives late can still be honoured, and it is the reason we can offer a 14-day no-questions refund on a perpetual licence at all. What it is not is a lever over a customer who paid and kept their purchase: for them the answer is always the same, and always yes.

06Your own AI provider accounts

GNexusOS runs on your machine and on your own AI provider accounts. You supply your own API keys, you contract directly with those providers, and you pay them directly for what you use. GATKO does not resell, meter or mark up model usage, and takes no share of it.

So provider availability, pricing, model behaviour and provider terms are matters between you and that provider. You are responsible for complying with their terms and for the charges you run up with them.

07Acceptable use of the software

You agree not to:

  • resell, sublicense, rent or redistribute GNexusOS, or share a licence key or licence id so that others can use it beyond your own activations;
  • remove or circumvent licence verification, or the limits on seats, activations or the update window;
  • reverse engineer, decompile or disassemble the software, except to the extent applicable law expressly allows despite this restriction;
  • use GNexusOS to break the law, to infringe anyone's rights, or to access, test or attack systems you are not authorised to use;
  • use it to deceive people in ways the law prohibits, or to present generated material as something it is not.

Agents you run act under your direction, on your machine, with the access you give them. You are responsible for what you instruct them to do, for what they reach, and for reviewing their work before relying on it.

08Price, purchase, and Paddle as merchant of record

The core licence is US$99, one-time, perpetual. The first 150 purchases are US$49.50 — 50% off. The founding price is the only difference: a founding licence carries exactly the same entitlements as one bought at US$99.

Additional agent seats are sold in packs of 5. An update renewal covers a further 12 months. Prices are in US dollars and do not include tax, which is added at checkout where it applies.

WHO YOU BUY FROM

Paddle is the merchant of record (seller of record) for purchases of GNexusOS — not GATKO. Paddle takes the payment, issues the invoice, calculates and remits sales tax, VAT and GST, and processes refunds. Your contract for the payment is with Paddle.

The software licence is granted by GATKO Technology Inc. under these terms. The two sit side by side: Paddle sells and bills; GATKO licenses and supports.

Which Paddle entity you contract with depends on where you buy. Per Paddle's buyer terms, that is Paddle.com Inc. (United States), Paddle.com (Canada) Ltd. (Canada), or Paddle.com Market Limited (rest of world). Paddle's own buyer terms and privacy notice apply to the payment.

The initial core licence purchase is refundable within 14 days, no questions asked. Update renewals, agent seat packs and any other add-on are not, and partial refunds are not offered. The Refund Policy sets that out in full, including the statutory rights that apply regardless of our policy.

09Revocation

GATKO may revoke a licence where:

  • the purchase was refunded, reversed or charged back;
  • the licence was obtained fraudulently or through an unauthorised payment;
  • you materially breach these terms and do not put it right within a reasonable time after we tell you.

When a licence is revoked, your right to use GNexusOS under it ends and you must stop using it and uninstall it. On our side, the licence service refuses new machine activations for that licence and the licence no longer entitles you to updates.

What revocation does to the software, stated plainly rather than left to be discovered: the application stops running agents — no hiring, no agent runs, no new work. It takes effect at the revoked licence's next check-in (section 05), so how soon depends on when that falls. A licence revoked in the first fortnight after a purchase — the usual case, because that is when a refund happens — is caught within a day, and the time-limited licence it holds is not renewed. A licence revoked later, after a chargeback, is caught at its next annual check: the software keeps running until then, and stops when it asks. In neither case do we reach into your machine; the application asks and we answer.

What revocation does not do, in any case: it does not touch your data. Your workspace, your agent transcripts and your files stay on your machine, readable and exportable. We do not withhold a person's own work over a reversed payment.

10Warranties, and what we do not promise

GNexusOS is provided as is. To the fullest extent the law allows, GATKO does not warrant that it will be uninterrupted or error-free, that it will suit a particular purpose, or that it will produce any particular result.

In particular, GNexusOS orchestrates AI models that are not ours. Their output can be wrong, incomplete or unsuitable. The product's verification features are designed to reduce that risk, not to remove it. Review an agent's work before you rely on it, and do not treat it as professional advice.

CONSUMER LAW COMES FIRST

Nothing in these terms takes away a right or remedy you have under consumer protection law that cannot be excluded — including, where it applies, Ontario's Consumer Protection Act, 2002 and the consumer law of the country where you live. Where such a law gives you a guarantee that cannot be waived, it applies regardless of this section.

11Limitation of liability

To the fullest extent the law allows:

  • GATKO is not liable for indirect, incidental, special or consequential loss, for lost profits or revenue, or for lost or corrupted data, however caused;
  • GATKO's total liability arising out of or relating to GNexusOS and these terms is limited to the amount you paid for your licence.

This section does not limit liability that cannot be limited by law — including liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or under non-excludable consumer law.

GNexusOS runs on your machine, with access you grant it. Keeping your own backups, and deciding what an agent is allowed to touch, stay with you.

12Third-party components

GNexusOS includes third-party open-source components, each licensed under its own terms. Those terms accompany the software and nothing here changes them.

13Changes to these terms

We may change these terms — for example when the product or the sales process changes. The version in force always carries its “last updated” date at the top of this page. Changes apply going forward and do not reduce the entitlements of a licence you have already bought.

14Governing law, and general

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, and the courts of Ontario have jurisdiction — without affecting any right you have as a consumer to rely on the consumer law of, or to bring proceedings in, the country where you live.

If part of these terms is unenforceable, the rest stands. Not enforcing a term is not a waiver of it. We may transfer these terms as part of a merger, acquisition or sale of assets; you may not transfer your licence without our written consent. These terms, together with the Refund Policy and the Privacy Policy, are the whole of the agreement between us about GNexusOS.
